Real Estate/Commercial Transactions

New York and New Jersey Attorneys

Expert legal guidance in commercial real estate requires knowledge of business structures and other areas of commercial law including taxation and insurance and environmental regulation.  At Gorlick, Kravitz & Listhaus, P.C., our competence and experience in these areas allows us to guide our clients in many different commercial real estate matters.

Commercial Real Estate

Our attorneys offer legal advice, and negotiate and draft agreements on a wide variety of commercial real estate matters including:

  • Leasing
  • Financing
  • Sales and acquisitions
  • Landlord and tenant representation

The firm's real estate practitioners work hand in hand with our litigators providing them with the necessary substantive expertise when a real estate matter must be arbitrated or litigated.  It is the firm's goal and has been the firm's experience that transactions entrusted to the firm rarely end up in court or before an arbitrator.

Commercial Transactions

Selecting the appropriate entity and devising legally sound contracts and agreements are vital to the success of any business.  Gorlick, Kravitz & Listhaus offers legal assistance with the following types of commercial issues:

Company Formation

Our lawyers advise clients on business structuring.  Certain corporate entities offer greater tax and operational advantages.  We take into consideration the nature of the business and advise selection of a business entity, based on plans for expansion (e.g. does the company wish to remain closely held?), planned ownership changes (e.g. selling the business or business succession), and other factors.  We also handle the formation of profit and nonprofit, small to medium entities.

  • Contract drafting and negotiation
It is always wise to have a written contract so your business can define its terms and conditions and avoid ambiguity.  Our lawyers help you determine the best type of contract based on the transaction, negotiate terms most favorable to your business, and draft contracts tailored to suit your needs.
  • On behalf of our clients, we handle the negotiation and drafting of many commercial contracts and we assist clients in avoiding liability resulting from such agreements without resorting to litigation.
  • We have represented our clients the following Business Agreements:
    • Shareholder agreements
    • Membership agreements for LLCs
    • Purchase and sale of Licenses
    • Commission Agreements
    • Purchase and Sale of Businesses
    • Negotiation and Review of Government grants
    • Negotiation and Review of Confidentiality Agreements
    • Equipment leasing and other commercial contract

Maintaining successful business operations often requires legal guidance and at times, representation. Gorlick, Kravitz & Listhaus consults profits and not-for-profits on their business operations, provides legal services for companies in various industries and offers assistance with tax issues.

Requests for Proposals (RFPs)

We can help you prepare requests for proposals.  An RFP invites suppliers to place a bid on providing a product or service.  Aside from simply asking for a price, the request often includes corporate information such as company history, financial status, delivery capability, technical expertise, ability to hold the product in stock, and customer references.

Residential Real Estate and Refinancing

We do residential real estate work including purchases, sales and refinances of private homes, co-ops and condominiums in New York and New Jersey.  We negotiate, review and draft contracts of sale and loan documents ensuring that our clients' rights are protected throughout every transaction.  We patiently explain and guide our clients through the transaction so they are comfortable, understand the process and know what to expect.  We will review cooperative minutes, financials and other documents to ensure that our clients' financial and legal interests are secure.
